1. Acceptance of these Terms
These Terms of Service (the "Terms") govern your access to and use of the Intellegal platform at https://intellegal.ai/legalpal/ (the "Platform"), operated by Technese Legaltech Inc. ("Intellegal," "we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms constitute an electronic contract that is valid and enforceable under Republic Act No. 8792, the Electronic Commerce Act of 2000, and the Civil Code of the Philippines.
2. Eligibility
You must be at least eighteen years of age and capable of entering into a binding contract to use the Platform. By using the Platform, you represent that you meet these requirements. If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Description of the service
The Platform is an artificial intelligence-assisted legal research and document drafting tool focused on Philippine law. It allows users to submit legal questions and materials and receive research results, summaries, and document drafts generated through automated means. The Platform is a productivity and research aid for legal professionals and students.
4. The Platform does not provide legal advice and creates no attorney-client relationship
This is a material term. You acknowledge and agree that:
- the Platform is not a law firm, is not a lawyer, and does not provide legal advice, legal opinions, or legal representation;
- your use of the Platform does not create an attorney-client relationship between you and Intellegal or any of its personnel;
- the Outputs generated by the Platform are not a substitute for the independent judgment, review, and advice of a lawyer duly admitted to the Philippine Bar; and
- you remain solely responsible for any reliance on, or use of, the Outputs, including in any pleading, submission, contract, or advice you provide to your own clients.
Nothing in the Platform should be construed as the practice of law by Intellegal. The practice of law in the Philippines is reserved to members of the Bar and is regulated by the Supreme Court, and the Platform is designed to assist, not to replace, licensed practitioners.
5. License to use the Platform
Subject to these Terms and to payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal professional or educational purposes. You may not resell, sublicense, or make the Platform available to third parties except as expressly permitted.
6. Acceptable use
You agree not to:
- use the Platform for any unlawful purpose or in violation of these Terms;
- submit content that infringes the rights of others or that you are not authorized to submit;
- attempt to reverse engineer, scrape, or extract the underlying models or data of the Platform, except to the extent permitted by law;
- use the Platform to develop a competing product;
- interfere with the security or operation of the Platform; or
- misrepresent the Outputs as the independent legal advice of a licensed lawyer where none has reviewed them.
7. Your Inputs and the Outputs
Your Inputs. You retain ownership of the materials you submit. You grant us a license to process your Inputs solely to operate and provide the Platform, including transmitting them to the artificial intelligence service providers that generate the Outputs, as described in our Privacy Policy.
Confidential and client data. You are responsible for what you submit. You should not submit privileged, confidential, or client information unless you are authorized to do so and have satisfied your own professional and data protection obligations. Please review Section 8 of our Privacy Policy.
The Outputs. As between you and us, you may use the Outputs for your lawful professional and educational purposes, subject to these Terms. You acknowledge that Outputs are generated by automated means, may not be unique to you, and may be similar to Outputs provided to other users. You acknowledge the limitations on accuracy described in Section 9 and in our Disclaimer.
8. Intellectual property
The Platform, including its software, design, and content other than your Inputs and the Outputs, is owned by Intellegal or its licensors and is protected by the Intellectual Property Code of the Philippines (Republic Act No. 8293) and other laws. These Terms do not transfer any ownership of the Platform to you.
9. Accuracy, limitations, and no warranty
You acknowledge that artificial intelligence systems can produce results that are inaccurate, incomplete, outdated, or fabricated, including incorrect or non-existent citations to laws or cases. The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
You are responsible for independently verifying every Output, including every statutory citation, case citation, and factual statement, against authoritative primary sources before relying on or using it.
10. Limitation of liability
To the fullest extent permitted by law, and without prejudice to any liability that cannot be excluded under Philippine law, Intellegal shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss arising from your reliance on the Outputs. Our total aggregate liability arising out of or relating to the Platform shall not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud or for any liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify and hold us harmless from any claim, loss, or liability arising from your use of the Platform, your Inputs, your reliance on the Outputs, or your breach of these Terms, except to the extent caused by our own fault.
12. Fees and payment
The Platform offers a free tier and paid subscriptions. The subscription tiers, fees, billing cycle, any applicable taxes (such as value-added tax), and any current promotions are as described on our Pricing page and at the point of purchase before you complete a transaction. Fees are stated in Philippine pesos (PHP). Payment is processed by our third-party payment processor; we do not store full payment card numbers. Unless stated otherwise at the point of purchase, a subscription renews each billing period until you cancel it, and you may cancel at any time, with the cancellation taking effect at the end of the then-current billing period. Refunds, where applicable, are handled in accordance with the terms presented at the point of purchase.
13. Suspension and termination
We may suspend or terminate your access for breach of these Terms or where required by law. You may stop using the Platform and close your account at any time. Sections that by their nature should survive termination, including Sections 7 to 11, will survive.
14. Governing law and venue
These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising out of or relating to these Terms or the Platform shall be brought before the courts of Makati City, Philippines, to the exclusion of other venues, without prejudice to any right to pursue alternative dispute resolution where agreed.
15. Changes to these Terms
We may amend these Terms from time to time. We will post the updated Terms on the Platform and indicate the date of the latest revision. Your continued use after the changes take effect constitutes acceptance of the amended Terms.
