Summary
Republic-Asahi Glass Corporation contracted with JDS Construction for P5.3 million construction work, secured by P795,000 performance bond from Stronghold Insurance. When JDS failed to complete work satisfactorily and the contract was rescinded, Republic-Asahi claimed against the bond. After JDS proprietor Jose Santos Jr. died in 1990, Stronghold argued its liability was extinguished. The Supreme Court ruled that a surety's solidary liability under a performance bond is not automatically extinguished by the principal obligor's death. The Court held that contractual obligations are generally transmissible to heirs unless prevented by law, stipulation, or the obligation's nature. Since Santos' monetary liabilities were transmissible, his death merely passed obligations to his estate, and Stronghold remained solidarily liable under Civil Code Articles 2047 and 1216. This landmark ruling protects creditors' rights against sureties despite principals' death.
