Summary
This case involved a dispute over the registration of parcels A and C of land. Multiple creditors of spouses Ramon Henson and Matilde Magdañgal entered into an agreement on December 7, 1888, creating an antichresis arrangement and partnership to manage the debtors' hacienda and collect debts from its proceeds. The same day, the spouses attempted to sell parcels A and C absolutely to two of the creditors, whose rights eventually passed to the petitioners. The Court of Land Registration ordered registration in favor of the petitioners, but the Supreme Court reversed this decision. The Court held that the original agreement constituted a valid antichresis contract and partnership among creditors, making the subsequent sale invalid as it was made without consent of other partners and violated partnership law prohibiting withdrawal for personal profit before partnership termination. The attempted sale did not convey valid title to the parcels.
