This case involved a dispute over exclusive rights to sell glass etchings at Virra Mall. Florentino Ozaeta (Glasik) had an exclusive agreement with Virra Realty to display and sell glass etchings. However, EARRN General Merchandising, which had a separate contract for "Artworks & Furnishings" in another unit, changed its business to glass etching and subleased to Angela Chu who also sold glass etchings. The Supreme Court ruled that third parties (EARRN and Chu) cannot be bound by contracts they were not parties to and had no knowledge of. The Court applied the fundamental principle that contracts take effect only between parties under Article 1311 of the Civil Code. Additionally, the Court found that glass etchings could reasonably fall under "artworks and furnishings." The decision reinforced the doctrine of privity of contract and the limitation of contractual obligations to actual parties to the agreement.
